Terms of Service

1. Acceptance of Terms

By accessing or using SubManager, operated by Vortx at submanager.ch, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the service.

2. Service Description

SubManager is a family subscription management application available on iOS and the web. It allows users to track, organize, and manage their subscriptions collaboratively within family groups. The service is offered in a Free tier with basic features and a Premium tier with additional capabilities including AI-powered features and advanced analytics.

3. Account Registration

• You must be at least 16 years of age to create an account.
• You must provide accurate and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• Each person may only maintain one account. Creating multiple accounts may result in termination.
• You must notify us immediately at privacy@submanager.app if you become aware of any unauthorized use of your account.

4. Free and Premium Plans

SubManager offers two service tiers:

• Free: Core subscription tracking, family management, and community features.
• Premium: All Free features plus AI-powered insights, advanced analytics, and additional capabilities.

Current pricing is available at submanager.ch. All payments are processed securely through Stripe.

5. Subscription & Billing

• Premium is a one-time purchase. There is no automatic renewal or recurring billing.
• Refunds are handled in accordance with Stripe's refund policy and applicable EU consumer protection law, including the 14-day cooling-off period provided by the EU Consumer Rights Directive (2011/83/EU).
• To request a refund within the cooling-off period, contact us at privacy@submanager.app.

6. User Content & Community

You retain ownership of all content you create within SubManager, including reviews, subscription stacks, and tips. By posting content to community features, you grant Vortx a non-exclusive, worldwide, royalty-free license to display and distribute that content within the SubManager application.

The following content and behavior are prohibited:

• Spam, unsolicited promotions, or repetitive content.
• Harassment, hate speech, threats, or abusive language.
• Illegal content or content that promotes illegal activities.
• Impersonation of other users or entities.
• Scraping or automated collection of user data or content.

Vortx reserves the right to remove content that violates these guidelines and to suspend or terminate accounts of repeat offenders.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the SubManager application.
• Use automated means (bots, scrapers, or other tools) to access or interact with the service.
• Circumvent, disable, or interfere with security features of the service.
• Upload or transmit malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use the service for any purpose that is unlawful or prohibited by these terms.

8. Intellectual Property

The SubManager name, logo, source code, design, and all related intellectual property are owned by Vortx. You may not copy, modify, distribute, sell, or lease any part of SubManager, nor may you reverse engineer or attempt to extract the source code, unless permitted by applicable law.

9. Data Protection

Your privacy is important to us. Please review our Privacy Policy for detailed information about how we collect, use, and protect your personal data. We comply with the General Data Protection Regulation (GDPR) and the Swiss Federal Act on Data Protection (FADP) where applicable.

10. AI Features Disclaimer

SubManager offers AI-powered features including savings insights, natural language subscription parsing, cancellation guides, and smart price monitoring. These features are provided for informational purposes only and do not constitute financial, legal, or professional advice. Vortx does not guarantee the accuracy, completeness, or reliability of AI-generated content. You should independently verify any information or recommendations before acting on them.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Vortx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of SubManager.

Vortx's total aggregate liability for any claims arising from or related to these terms or the service shall not exceed the amount you have paid to Vortx in the 12 months preceding the claim.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law. These limitations do not affect your statutory consumer rights under EU law.

12. Disclaimer of Warranties

To the extent permitted by applicable EU law, SubManager is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not affect your statutory warranty rights under EU consumer protection law.

13. Indemnification

You agree to indemnify and hold harmless Vortx and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your violation of these terms, your misuse of the service, or your violation of any rights of a third party.

14. Termination

• You may terminate your account at any time by deleting it through your account settings or by contacting us.
• Vortx may suspend or terminate your account if you violate these terms, with notice where reasonably practicable.
• Upon termination, your data will be handled in accordance with our Privacy Policy, including permanent deletion within 30 days.

15. Governing Law & Dispute Resolution

These terms are governed by the laws of Switzerland. For consumers residing in the European Union, the mandatory consumer protection laws of your country of residence apply in accordance with EU Regulation 593/2008 (Rome I).

For EU consumers, the European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Changes to Terms

Vortx reserves the right to modify these terms at any time. We will provide at least 30 days' notice of material changes via in-app notification. Your continued use of SubManager after the notice period constitutes acceptance of the updated terms. If you do not agree with the changes, you may terminate your account before the changes take effect.
